By using Three Eighty Two and the Three Eighty Two mobile application you represent and warrant that you are at least 18 years of age or are visiting Three Eighty Two with the permission and supervision of a parent or guardian.

Subject to these Terms and Conditions, Three Eighty Two hereby grants you a limited, revocable, non-exclusive license to access and use the Three Eighty Two website on your computer or mobile device. User Reviews Photos & comments

Anything posted or otherwise submitted to Three Eighty Two, whether on the Three Eighty TwoSite, through a mobile application, blog or via any form of social media, will be treated as public and nonproprietary. By submitting photographs, comments or other materials to Three Eighty Two, you grant Three Eighty Two a royalty-free, worldwide, perpetual, irrevocable and transferable right to use, copy, distribute, publish and modify such submissions. All such submissions shall automatically become Three Eighty Two’s sole and exclusive property. In addition, when you post photographs, reviews or comments to Three Eighty Two or on any of Three Eighty Two’s social media networks, you also grant us the right to use the name that you submit, if any, in connection with that submission. You further represent and warrant that you own or otherwise control all rights, including but not limited to trademarks, service marksandcopyrights, in and to any content submitted to Three Eighty Two

Intellectual Property Rights (IPR)

We respect the intellectual property rights of others. Similarly, all graphics, images and content on the Three Eighty TwoSite, blog and mobile application belong exclusively to Three Eighty Two, or its affiliates. The use of any Three Eighty Twotrademarks,,service marks, trade dress or any and all other intellectual property (the “Three Eighty Two IPR”) withoutThree Eighty Two’s express written consent is strictly prohibited. You may not use Three Eighty TwoIPR in connection with any product or service that is in any way likely to cause confusion with or a counterfeit of Three Eighty Two products or services, or to disparage or discredit Three Eighty Two. In addition, you may not use any of Three Eighty Two'sIPR, including but not limited to trademarks or service marks in metatags without Three Eighty Two’s explicit prior consent.

Orders

Nothing contained on the Site shall constitute a binding offer to sell any products displayed herein and all orders are subject to our acceptance. Any time after receipt of your order, we may, in our sole discretion, accept or decline all or part of your order or any future orders. We will issue a credit to your original form of payment if you were previously charged. If a product is listed at an incorrect price, we may refuse or cancel orders placed for such product, in accordance with applicable law, and will issue a credit to your original form of payment if you were previously charged. You may not purchase our products with the intent of engaging in commercial resale activities.

Applicable Law; Disputes; Remedies

The laws of the State of California govern these Terms of Use. Any dispute relating in any way to your visit to the Three Eighty TwoSite or mobile application or products purchased on Three Eighty Twoor via the mobile application shall be submitted to confidential arbitration in Los Angeles, California, except with regard to issues regarding violations of Three Eighty Two’s intellectual property rights, in which case we may seek express and exclusive relief from any court of competent jurisdiction located in the State of California. By using the Three Eighty TwoSite and mobile application , you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to express and exclusive personal and subject matter jurisdiction and venue.Arbitration under these Terms of Use shall be conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms of Use shall be joined to an arbitration involving any other party subject to these Terms of Use, whether through class action proceedings or otherwise. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to or connected with the use of the Site or the mobile application or with these Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever waived.

By using the Three Eighty TwoSite and mobile application, you agree that Three Eighty Two’s remedy at law for any actual or threatened breach of these Terms of Use would be inadequate. As such, Three Eighty Two shall be entitled to equitable relief, including but not limited to specific performance, liquidated damages, injunctive relief, or any or all of these remedies, in addition to any monetary relief that we may be entitled to recover, including but not limited to our reasonable attorneys’ fees and costs for any form of dispute resolution. No right or remedy of ours shall be exclusive of any other, whether at law or in equity, including without limitation monetary relief, injunctive relief, reasonable attorneys' fees and costs.

Indemnification

You agree to indemnify, defend and hold harmless Three Eighty Two, our officers, directors, employees, agents, affiliates, heirs and assigns from and against any and all damages, claims or causes of action, including attorneys' fees and costs, arising from or related to your use of the Site, or your violation of any of these Terms of Use or ofany law or the rights of any third party.

No Waiver

You agree that no failure or delay by us in exercising any right, power or privilege hereunder will operate as a waiver thereof, nor will any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege hereunder.

Severability

If any the provisions in these Terms of Use are deemed invalid or otherwise unenforceable, that condition shall be deemed severable and shall not affect the enforceability of the remaining provisions.
